TERMS AND CONDITIONS

Repair Replay Trade-In & Purchase Agreement

Repair Replay, a South Carolina limited liability company ("Repair Replay," "we," or "us"), offers services (the “Repair Replay Services”) through which you can (i) sell certain video games, electronic gaming systems, and associated products (the “Products”) to Repair Replay or third-parties (each transaction, a “Trade-In”) and (ii) buy Products (each sale, a “Purchase”). You must agree to the following terms to use the Repair Replay Services and/or the Repair Replay websites.

BY USING THE REPAIR REPLAY SERVICES OR WEBSITES, YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS, INCLUDING A WAIVER OF JURY TRIAL AND CLASS ACTION WAIVER. THESE TERMS MAY BE AMENDED AT ANY TIME BY POSTING THE AMENDED TERMS ONLINE. AMENDED TERMS BECOME EFFECTIVE IMMEDIATELY UPON POSTING.

🔷 1. About These Terms

These terms, along with any supplemental terms or policies tied to a specific transaction, collectively make up an agreement between you and Repair Replay (“the Agreement”). This electronic Agreement has the same force as a signed written contract. “You” refers to the individual or entity using Repair Replay Services.

🔷 2. Requirements for Trade-In and Purchase

To trade in or purchase from Repair Replay, you must:

Provide accurate and up-to-date account and product information.

Comply with these terms and all applicable laws.

Transact on your own behalf.

Be at least 18 years of age and legally able to transfer product ownership.

You authorize Repair Replay to charge any related costs (shipping, handling, etc.) to your provided payment method. You are responsible for any applicable taxes.

🔷 3. Condition and Trade-In Value

i. Repair Replay uses its posted guidelines to assess Products and determine value (“Trade-In Value”).

ii. All Products submitted will be inspected within 14 business days of receipt. Repair Replay will determine Trade-In Value based on model, condition, and included accessories.

iii. Products meeting guidelines will receive the buy price listed on the current Repair Replay buylist as of the day received. Buylist pricing is subject to change monthly.

iv. Products that do not meet the guidelines may receive a reduced or zero-dollar value. If your item has no value, you authorize Repair Replay to dispose of it at our discretion.

v. Payment is made via your chosen method (e.g., CashApp, Venmo, card, etc.).

vi. All trade-in submissions are final. We do not return Products unless specifically agreed in writing.

🔷 4. Product Eligibility and Ownership

You must have full legal ownership of all Products submitted. Items must not:

Violate laws or regulations.

Infringe on any third-party rights.

Be counterfeit, stolen, or fraudulent.

Contain malware or personal data.

You are responsible for:

Cancelling service accounts on the device.

Removing security codes.

Wiping all personal data prior to submission.

Repair Replay is not responsible for any remaining data or services attached to the device and will not return or recover that information.

🔷 5. Shipping Responsibility

You bear all risk of loss until we receive the Product. Follow all shipping instructions provided. Products damaged in transit are your responsibility.

🔷 6. Passing of Title

Ownership transfers to Repair Replay once the Product is received and accepted after passing our condition checks.

🔷 7. Restrictions on Use

You agree not to:

Use automated tools (bots, scrapers, etc.) to interact with our systems.

Interfere with or disrupt the Services or website performance.

🔷 8. No Warranties

All Repair Replay services are provided “AS IS” and “AS AVAILABLE” without any warranty of any kind. We make no guarantees regarding product value, condition assessments, or availability.

🔷 9. Limited Liability

To the fullest extent allowed by law, Repair Replay is not liable for indirect or incidental damages, data loss, or loss of income. Our total liability is limited to $100 or the amount you paid us, whichever is greater. This does not limit liability for fraud, intentional misconduct, or personal injury.

🔷 10. Indemnity

You agree to indemnify and hold harmless Repair Replay from any claims or damages related to your use of the services or your breach of this Agreement.

🔷 11. Entire Agreement / Waivers

This is the complete agreement between you and Repair Replay. No waiver of any term shall be interpreted as a future or continuing waiver.

🔷 12. Modifications

We may modify this Agreement at any time. Your continued use of Repair Replay services constitutes your acceptance of any changes.

🔷 13. Dispute Resolution; Binding Arbitration

PLEASE READ CAREFULLY – THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

All disputes between you and Repair Replay must be resolved via binding individual arbitration, not in court. You waive your right to participate in class actions or jury trials. Arbitration will be governed by the Federal Arbitration Act (FAA) and conducted by NAM or, if unavailable, AAA.

Informal Dispute Process:

Before initiating arbitration, both parties agree to try to resolve disputes informally within 30 days of written notice.

Arbitration Location:

Arbitration will be conducted remotely or in South Carolina unless otherwise agreed.

Fees:

Each party is responsible for arbitration fees as defined by the applicable provider.

Filing Deadline:

Claims must be filed within one year or are permanently barred.

Severability:

If part of this arbitration clause is invalidated, remaining provisions still apply.

🔷 14. Governing Law

This Agreement is governed by the laws of South Carolina, without regard to conflict-of-law rules. Any non-arbitrated dispute must be brought in courts located in South Carolina.
